5. Payment Terms

• Invoices are due within 30 days of the invoice date
• Late payments may incur interest charges at the rate of 1.5% per month
• We reserve the right to suspend services for overdue accounts
• All fees are exclusive of applicable taxes, which are the client's responsibility
• Refunds are subject to the terms outlined in the specific service agreement

6. Intellectual Property Rights

Client-Owned Materials

All materials, data, and intellectual property provided by the client remain the property of the client. The client grants us a limited license to use these materials solely for the purpose of providing the agreed services.

Deliverables

Upon full payment, the client will own the custom deliverables created specifically for them as outlined in the service agreement. We retain ownership of our pre-existing intellectual property, methodologies, tools, and frameworks.

Our Property

We retain all rights to our proprietary methodologies, tools, templates, and general knowledge developed independently of client engagements.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of our engagement. This obligation continues for three years after the termination of services, unless otherwise specified in a separate non-disclosure agreement.

Confidential information does not include information that:

• Is or becomes publicly available through no breach of this agreement
• Was rightfully in the receiving party's possession prior to disclosure
• Is independently developed without use of confidential information
• Is required to be disclosed by law or court order

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However:

• We do not guarantee specific business results or outcomes
• Services are provided as is without warranties of any kind beyond those expressly stated
• We are not responsible for issues arising from client-provided information or systems
• Technology solutions may require ongoing maintenance and updates

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims arising from our services shall not exceed the fees paid by the client for the specific services giving rise to the claim
• We shall not be liable for any indirect, incidental, consequential, or special damages
• We are not liable for damages resulting from client's failure to follow our recommendations
• We are not responsible for third-party products, services, or systems

10. Indemnification

The client agrees to indemnify and hold harmless GET SET WEDDING LLC from any claims, damages, or expenses arising from:

• Client's use of our deliverables in a manner not authorized by the service agreement
• Client's violation of applicable laws or regulations
• Client's infringement of third-party intellectual property rights
• Inaccurate or incomplete information provided by the client

11. Term and Termination

Either party may terminate a service agreement with written notice as specified in that agreement. Upon termination:

• The client must pay for all services performed up to the termination date
• We will deliver all completed work products
• Each party will return or destroy confidential information as requested
• Provisions regarding confidentiality, intellectual property, and liability survive termination

12. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, acts of government, labor disputes, or technical failures.

13. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms. Material changes will be communicated to active clients.

14. Governing Law and Dispute Resolution

These Terms of Service shall be governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved through:

• Good faith negotiations between the parties
• Mediation, if negotiations fail
• Binding arbitration or litigation in Sacramento County, California, if mediation is unsuccessful

15. Severability
